I. GENERAL TERMS OF USE
1. Scope
These General Terms of Use apply to every visit or use of the Platform by an internet user (hereinafter the "User").
By accessing or using the Platform, the User acknowledges that they have read and expressly accept these General Terms of Use.
Exceptions to these terms can only be made by written agreement. Deviations may include modifications, additions, or deletions and do not affect the validity of the remaining provisions.
We reserve the right to modify these terms at any time without prior notice but will apply the version in effect at the time the User accessed the Platform.
2. Platform
a. Accessibility and navigation
Access to and use of the Platform is restricted to persons aged 18 and above. Each User declares under oath to have reached this age. We reserve the right to request proof of age.
We take all reasonable steps to ensure the Platform's proper functioning, security, and accessibility. However, we cannot offer absolute guarantees, and our efforts should be considered as obligations of means.
All use is at the User’s own risk. We are not liable for damages from malfunctions, interruptions, defects, or harmful elements.
We may restrict or interrupt access to the Platform at any time without notice.
b. Content
Qualitools controls and maintains the content of the Platform with care. Despite all efforts, the information may not always be complete, accurate, or current. Qualitools cannot be held liable for direct or indirect damage resulting from the content.
If any content violates the law or third-party rights, Users should notify us so we can take appropriate action.
Downloads from the Platform are at the User’s risk. We are not liable for damages such as data loss or system damage.
c. Services for registered Users
1) Registration
Certain services are only available to registered Users. Registration is reserved for legally competent adults who provide truthful and current information.
A valid email address must be provided. Each person may only register once.
The User receives login credentials for a Personal Area, including a username and password. The password is personal and must not be shared.
We reserve the right to refuse registration in case of non-compliance with the terms.
2) Unsubscribing
Registered Users may unsubscribe at any time via their Personal Area. The unsubscription will be effective as soon as possible after submission.
3. Links to Other Websites
The Platform may contain links to third-party websites. These do not imply any relationship or agreement with Qualitools. We are not responsible for the functioning or destination of these links.
4. Intellectual Property
The structure and content of the Platform (texts, images, videos, databases, etc.) are owned by or licensed to Qualitools and protected under intellectual property laws.
Any reproduction, modification, or use is prohibited without prior written consent, except for elements marked as royalty-free.
Users are granted limited, non-exclusive, non-transferable access for personal, non-commercial use.
Users may not input data that modifies the Platform’s appearance or content.
5. Data Protection
We value privacy and protect personal data in accordance with EU Regulation 2016/679 (GDPR) and the Belgian law of 30 July 2018. Details are in our Privacy Policy available on the Platform.
6. Applicable Law and Jurisdiction
These terms are governed by Belgian law. Disputes will be submitted to the courts of the district where Qualitools’ registered office is located.
7. Other Provisions
We reserve the right to modify, remove, or suspend the Platform and services at any time without liability.
In case of a breach of these terms, Qualitools may deny access or impose sanctions without notice or justification.
If any part of these terms is deemed invalid, the rest remain in effect. We may replace the invalid provision with a valid one that meets the same objective.
II. GENERAL TERMS OF SALE
1. Scope
These terms define the mutual rights and obligations when a User (hereafter “Customer”) purchases products or services from the Platform.
The Customer accepts these terms unconditionally by placing an order.
Exceptions can be made only by written agreement.
Qualitools may update the terms at any time. The applicable version is the one published at the time of the purchase.
2. Online Shop
The Platform provides an online shop with product/service descriptions (e.g., photos), which have no contractual value.
Descriptions are as accurate as possible. Errors do not constitute grounds for liability.
Products and services are offered subject to availability. Prices include taxes and are listed in euros, excluding shipping costs.
3. Price
Prices may change at any time. Only the prices applicable at the time of the order are valid.
Shipping costs are shown before final confirmation.
4. Online Orders
Customers place orders using an online form, accepting prices and descriptions.
They must provide a valid email address and billing/shipping details.
Qualitools may block an order in case of issues like non-payment or incorrect information.
5. Order Confirmation and Payment
a. Payment
Full payment is required at checkout. The chosen payment method implies agreement with the purchase.
We use verification procedures to detect fraudulent activity.
In case of payment denial, we may cancel or suspend the order.
b. Confirmation
Upon payment confirmation, the order is processed. If a product is unavailable, we will notify the Customer and refund the item.
6. Proof
Communications and transactions are evidenced by automated records stored securely.
Orders and invoices are archived on reliable media.
7. Delivery
Delivery follows payment confirmation and is made to the address provided.
Additional costs due to incorrect info are charged to the Customer.
Delivery times depend on the supplier and are indicative. If over 30 days late, the contract can be canceled and refunded.
a. Order Check
Customers must inspect goods upon receipt. Any issues must be reported to the carrier and us immediately.
b. Delivery Error
Report incorrect or non-compliant deliveries within 3 business days. After that, no claims will be accepted.
c. Returns and Exchanges
Products must be returned in original condition and packaging.
Return procedure:
- Email the supplier within 14 days of receipt with name, order number, date, and reason.
- After confirmation, return the goods within 3 business days.
Returns not meeting these rules are void, and costs are the Customer’s responsibility.
8. Data Protection
Transaction data, including orders and invoices, is securely stored.
We protect Customer data per our Privacy Policy.
9. Force Majeure
Unforeseen events beyond our control may delay or suspend order execution. If this lasts more than 90 days, either party may cancel the contract by registered mail. Completed services will be billed proportionally.
10. Severability
If any provision is found to be unlawful or void, the remaining terms remain valid. Invalid provisions may be replaced with equivalent valid terms.
11. Applicable Law and Jurisdiction
Belgian law applies. Disputes fall under the courts of the Seller's registered office district.
